1. Introduction

These Terms and Conditions (“Terms”) govern your access to and use of the services, websites, applications, software, and IT solutions provided by APPTUNER GROUP LIMITED (“Company”, “we”, “our”, or “us”).

By accessing or using our services, you agree to be legally bound by these Terms. If you do not agree, you must not use our services.

2. Services

APPTUNER GROUP LIMITED provides IT-related services including but not limited to:

• Software development
• Web and mobile application development
• Cloud solutions and infrastructure services
• IT consulting
• System integration
• Technical support and maintenance
• Cybersecurity services
• Custom enterprise solutions

We reserve the right to modify, suspend, or discontinue any service at any time without prior notice.

3. Eligibility

You must:

• Be at least 18 years old
• Have legal capacity to enter into binding contracts
• Use our services in compliance with applicable laws

If you are using our services on behalf of an organization, you represent that you have authority to bind that organization.

4. Client Obligations

You agree to:

• Provide accurate and complete information
• Maintain confidentiality of login credentials
• Not misuse, reverse-engineer, or attempt unauthorized access
• Not use our services for unlawful purposes
• Comply with intellectual property laws

You are responsible for all activities conducted under your account.

5. Fees and Payment

• Fees are defined in individual service agreements or invoices.
• Payments must be made according to agreed payment terms.
• Late payments may incur interest or service suspension.
• All fees are exclusive of taxes unless otherwise stated.

We reserve the right to suspend services for non-payment.

6. Intellectual Property

6.1 Company IP

All intellectual property related to our software, systems, methodologies, and proprietary tools remains the property of APPTUNER GROUP LIMITED unless otherwise agreed in writing.

6.2 Client IP

Clients retain ownership of their pre-existing intellectual property.

6.3 Deliverables

Ownership of custom-developed solutions will be governed by the specific service agreement. Unless otherwise agreed:

• Full payment is required before IP transfer.
• We may retain rights to non-confidential frameworks and reusable components.

7. Confidentiality

Both parties agree to:

• Protect confidential information
• Not disclose proprietary business information
• Use confidential information only for agreed purposes

This obligation survives termination of services.

8. Data Protection

We process personal data in accordance with our Privacy Policy (see below). Where applicable, we act as:

• Data Controller for website visitors
• Data Processor for client data processed on behalf of clients

Separate Data Processing Agreements (DPAs) may be executed where required by law.

9. Warranties and Disclaimers

We warrant that services will be provided with reasonable skill and care.

Except as expressly stated:

• Services are provided “as is” and “as available.”
• We do not guarantee uninterrupted or error-free operation.
• We disclaim all implied warranties including merchantability and fitness for a particular purpose.

10. Limitation of Liability

To the maximum extent permitted by law:

• We are not liable for indirect, incidental, or consequential damages.
• Our total liability shall not exceed the amount paid by the client in the 6–12 months preceding the claim (or as agreed in contract).

Nothing limits liability for fraud, willful misconduct, or where prohibited by law.

11. Third-Party Services

Our services may integrate with third-party platforms (e.g., cloud providers, APIs). We are not responsible for:

• Third-party downtime
• Data loss caused by third-party providers
• Changes in third-party services

Use of third-party services is subject to their own terms.

12. Termination

We may suspend or terminate services if:

• You breach these Terms
• Payment is not made
• Required by law

Upon termination:

• Outstanding fees become immediately due
• Access to services may be revoked

13. Force Majeure

We are not liable for delays or failure due to events beyond our control, including:

• Natural disasters
• Cyber-attacks
• Government actions
• Power or internet failures

14. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of Hong Kong.

Any disputes shall be resolved in the courts of Hong Kong, unless otherwise agreed in writing.

15. Amendments

We reserve the right to modify these Terms at any time. Updated versions will be posted with a revised effective date.

Continued use of services constitutes acceptance of revised Terms.
